Pre-existing tools, frameworks, libraries, methodologies, and general-purpose code used in delivering those services remain our exclusive property, and we grant you a perpetual, non-exclusive, non-transferable license to use them as part of the delivered solution.

4.3 Trademarks

The trademarks, service marks, and logos contained on our Site are registered and unregistered properties of Kunming Junmiaoqing Trading Co., Ltd. and its affiliates. You are not permitted to use these marks without our prior written permission.

5. Service Agreements and Payment Terms

5.1 Engagement

Services will be provided pursuant to a written proposal, statement of work, or service agreement ("Agreement") executed between you and us. The Agreement will specify the scope of work, deliverables, timelines, fees, payment schedule, and any other terms specific to the engagement. In the event of a conflict between these Terms and an Agreement, the Agreement shall control with respect to the services described therein.

5.2 Fees and Payment

Fees for our services will be as quoted in our proposal or agreed upon in the relevant Agreement. Unless otherwise specified:

  • Payment terms are net 30 days from the date of invoice.
  • Late payments will accrue interest at the rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until paid in full.
  • We may suspend or terminate services for non-payment after written notice.
  • All fees are quoted in Chinese Yuan (CNY) unless otherwise agreed. Taxes, duties, and other governmental charges will be billed separately if applicable.

5.3 Expenses

Client may be responsible for pre-approved out-of-pocket expenses incurred in connection with the services, including travel, accommodation, third-party licenses, and software subscriptions, as outlined in the Agreement.

6. Service Level and Support

We will perform our services with reasonable skill and care in accordance with generally accepted industry standards. Specific service level commitments, response times, and support terms will be defined in the relevant Agreement. Post-delivery support and maintenance, if applicable, will be governed by separate support agreements.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability arising out of or related to these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, business interruption, or damage to goodwill, regardless of the theory of liability.
  • We do not guarantee that our services will be uninterrupted, error-free, or fully secure. You acknowledge that the use of our services is at your own risk.
  • Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above exclusions and limitations may not apply to you in all cases.

8. Indemnification

You agree to indemnify, defend, and hold harmless Kunming Junmiaoqing Trading Co., Ltd. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your use of our Site or services; (c) your violation of any applicable law or the rights of any third party; or (d) any products or services you develop using our deliverables.

9. Confidentiality

Both parties acknowledge that during the course of our engagement, each party may have access to confidential information of the other party ("Confidential Information"). Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the prior written consent of the disclosing party; (c) use Confidential Information solely for the purpose of performing obligations under this Agreement. These obligations shall survive termination of these Terms for a period of three (3) years, except for trade secrets which shall remain confidential for as long as they qualify as trade secrets under applicable law.

10. Term and Termination

10.1 Term

These Terms remain in effect as long as you use our Site or services. We may terminate or suspend your access to the Site or services at any time, with or without cause, and with or without notice.

10.2 Effect of Termination

Upon termination, your right to use our Site and services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitation of liability, and indemnification. We will continue to perform obligations accrued prior to termination, subject to applicable fees having been paid.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms or our services shall first be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved amicably within thirty (30) days, it shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Kunming, in accordance with its rules in effect at the time of applying for arbitration. The arbitral award shall be final and binding upon both parties. The language of arbitration shall be English (or Chinese, as mutually agreed).

12. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, labor, energy, raw materials, or components, or internet service disruptions.

13. Entire Agreement

These Terms, together with our Privacy Policy and any service agreements or statements of work, constitute the entire agreement between you and Kunming Junmiaoqing Trading Co., Ltd. regarding your use of our Site and services, and supersede all prior or contemporaneous agreements, proposals, or representations, whether written or oral.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
